Standard Service Agreement
1. Parties
Service Provider: gVectors LLC, a Wyoming Limited Liability Company, operating as gConverter, 30 N Gould St Ste N, Sheridan, WY 82801, USA. Operational office: Yerevan, Republic of Armenia.
Customer: The individual or legal entity that submits a migration quote request and accepts this Agreement by proceeding with payment.
2. Services
gConverter will perform a one-time migration of the Customer’s website, forum, or CMS data from a source platform to a target platform as specified in the agreed quote. The migration includes transfer of posts, users, media, and structural content as described in the quote confirmation.
3. Payment Terms
No payment is required until the migration is completed and the Customer has inspected the result on a staging environment. Payment is due only after the Customer explicitly approves. The agreed price is fixed as stated in the quote — no hidden fees, no upfront charges.
4. Data Handling
To perform the migration, the Customer provides access credentials (admin logins, database credentials, FTP/SSH, or cPanel access). Under this Standard Agreement, gConverter commits to:
- All data transferred over encrypted connections (TLS 1.3).
- Source data stored only on the engineer’s encrypted machine (Apple FileVault or equivalent).
- Access credentials deleted immediately after migration completion.
- All source data copies permanently deleted within 30 days of project completion.
- Customer data never shared with any third party or used for any purpose other than completing the migration.
5. Staging and Approval
gConverter builds the migrated site on a staging environment. The Customer has access to inspect the result with unlimited review cycles before approval. The live site remains fully online throughout. No changes are made to the source until the Customer explicitly proceeds.
6. Warranty
gConverter guarantees zero data loss for all content types included in the agreed scope. If any in-scope data is missing from the completed migration, gConverter will remedy it at no charge before final payment.
7. Limitation of Liability
gConverter’s total liability under this Agreement is limited to the amount paid for the specific project. gConverter is not liable for indirect, incidental, or consequential damages including loss of revenue, loss of data arising outside the migration scope, or business interruption.
8. Intellectual Property
The Customer retains full ownership of all website content, data, and materials. gConverter retains ownership of its proprietary migration tools and methodologies. Nothing in this Agreement transfers IP rights between the parties.
9. Confidentiality
gConverter treats all Customer information — including site architecture, credentials, content, and business details — as confidential. This information will not be disclosed to any third party. For a formally signed mutual NDA, see GC-ExtraSecurity.
10. Cancellation
Either party may cancel before final Customer approval at no charge. If the Customer cancels after approving and payment is received, no refund is due. If gConverter cannot complete the migration as scoped, a full refund of any amounts paid will be issued.
11. Governing Law
This Agreement is governed by the laws of the State of Wyoming, United States. Disputes shall be resolved in the courts of Sheridan County, Wyoming.
